Due diligence

When a company is being acquired or sold, we step in to estimate the value of your project. We examine the accounts, the tax and employment position and the company’s commitments, so that the price is negotiated on facts rather than impressions.

What we examine

Due diligence checks that the company is what it says it is. We go back through its financial statements, test the quality of its accounts and look for anything that could weigh on its value after the transaction.

  • Quality and reliability of the financial statements
  • Tax position and exposure to reassessment
  • Employment position and commitments to staff
  • Off-balance-sheet commitments and known disputes

Estimating the value

From that review we estimate the value of the company and identify the points that justify adjusting the price or providing for warranties in the sale agreement.
